The specific services to be provided will be defined in an agreement or proposal between us and the Client, and are subject to change based on mutual agreement.

2. Client Obligations

Accuracy of Information: You agree to provide accurate, complete, and current information when submitting forms, booking services, or engaging with us. You are responsible for ensuring that all information provided is correct.

Compliance with Laws: You agree to comply with all applicable local, state, and federal laws and regulations, including those governing privacy, marketing, and business operations.

Consent for Services: For services such as SMS advertising, digital marketing, or any form of client communication, you are solely responsible for obtaining explicit consent from recipients and ensuring that all recipients are aware of the services being provided.

3. Content and Approval

Your Responsibility: You are solely responsible for the content of any materials or services you provide to us, including marketing materials, advertisements, and business information. We reserve the right to refuse any content that violates any laws or regulations or that we deem inappropriate.

Approval: You will have the opportunity to review and approve the content and services provided by us before implementation.

4. Fees and Payment

Fees: The fees for our services will be clearly outlined in an agreement, proposal, or invoice. Any additional costs incurred outside the scope of the agreed services will be billed separately.

Payment Terms: Payments are due as specified in the invoice, and late payments may result in additional fees or suspension of services until payment is received. By submitting forms or booking services, you agree to pay the fees as outlined.

5. Confidentiality and Privacy

Privacy: We respect your privacy and the confidentiality of the information you provide to us. We will not disclose any personal or business information without your consent, except as required by law.

Data Security: We implement reasonable safeguards to protect your information. However, you acknowledge that no method of transmission over the internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

6. Limitation of Liability

To the maximum extent permitted by applicable law, our liability for any claims arising out of or in connection with these Terms and Conditions, or our services, shall be limited to the total fees paid by you for the specific services provided. We shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of data, business interruptions, or loss of profits.

You agree to indemnify, defend, and hold harmless Victoria Elliott, our affiliates, and our employees from any claims, damages, liabilities, costs, or expenses (including legal fees) arising out of or in connection with:

8. Termination

Termination by You: You may terminate your use of our services at any time by providing written notice. However, you remain responsible for any outstanding fees for services rendered prior to termination.

9. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any legal actions or proceedings arising out of or related to this Agreement shall be brought exclusively in the courts located in Ontario.
